Batch U4 Amendment Filing for Series 79 Opt-in

Background

Pursuant to FIRA Regulatory Notice 09-41, Effective November 2, 2009, amendments to NASD Rules 1022 and 1032 require individuals whose activities are limited to investment banking and principals who supervise such activities to pass the new Limited Representative – Investment Banking Qualification Examination (Series 79 Exam).

Opt-in for Series 7 Licensees

Individuals who are registered as a General Securities Representative (Series 7) and engage in the member firm’s investment banking business as described in NASD Rule 1032(i) may “opt in” to the new registration category by May 3, 2010.

FIRE’s Solution

FIRE Solutions’ CRDirect compliance system is designed to handle batch filing of U4 amendments into FINRA’s Web CRD utilizing their Web EFT service.

Plan Specifics—Web EFT Clients

FIRE will use CRDirect to create U4 Amendments for registered representatives who will be opted-in to Series 79 SRO Registration via Section 4 of their U4s.

Firm administrators will have the ability to review the U4 Amendments online prior to batch submission from CRDirect to Web CRD. Upon submission of a batch, a corresponding status file will be created and downloaded from Web EFT. If any filings are rejected by Web EFT, the filing will be researched by FIRE and re-submitted.

FIRE will provide use of the CRDirect system and process administration, including setup and population of the CRDirect system with data from Web CRD as provided by Web EFT.

Plan Specifics—non-Web EFT Clients

If your broker dealer is currently not utilizing Web EFT, our staff of experienced compliance professionals is more than happy to create and file your U4 amendments directly in Web CRD. To expedite processing, a roster in Microsoft Excel with the CRD #, first name, and last name of every registered representative opt-in is required. Upon completion of the project, FIRE will deliver a report of all Series 79 registrants and registration details. Typical processing time is 3-5 business days per 1000 representatives.

Tracking and Management

All responses are stored within CRDirect’s reporting system. Your firm will have full access 24/7 to review all Series 79 registrations.

Upon completion of the project, FIRE will deliver a report of all Series 79 registrants and registration details.

Setup Time

Setup time is 3-5 days. FIRE will also complete Web EFT upload testing (if desired) if the service has not been approved by FINRA.

FINRA’s production Web EFT setup time is generally 3-7 business days.

FIRE launches U4 update service

In response to FINRA’s updates to the Regulatory Action disclosure questions on Form U4 as approved by the SEC and effective May 18, FIRE Solutions has introduced its U4 Update solution, built on our proprietary BlazeQNA platform. The solution is available now for immediate launch.

FINRA’s rule change 2009-008 is scheduled to go into effect on Monday, May 18, 2009. The rule change requires all Registered Reps to update their U4 with answers to a series of questions. Firms using WebEFT will not be able to update any rep’s CRD file until the disclosure questions have been answered.

In response to firms’ requirement to determine which reps need to file amended U4s, we have designed a system to easily collect and report reps’ responses, and, (presuming FINRA provides the contemplated upload facility) file affirmations for those not affected.

Our proprietary system consists of a questionnaire (which can be customized to include additional queries or explanatory language) that is accessed via a unique username and password that is emailed to each rep. Responses are fully tracked, and any affirmative answers lead to an immediate red flag which is communicated to the program administrator. Periodic reminder emails can be scheduled to insure compliance, and program administrators can run real-time reports to determine the status and responses of all reps. As part of our service, we will upload all the “non-red-flagged” responses to FINRA using their proposed mechanism for doing so. That would leave the firm to file amended U-4s for only those reps that answered “yes” to any of the new disclosure questions.

FIRE Solutions Announces Appointment of Eric Sternbach as CEO

The Board of Directors of FIRE Solutions, Inc., a leading provider of compliance and training solutions to the financial services industry, today announced the appointment of Eric Sternbach as CEO, succeeding company co-founder Nicole Miller. Simultaneously, the Board announced that it was moving FIRE’s headquarters from San Francisco to New York.

These moves were instigated by a desire to provide FIRE’s client base with a customer-focused organization that can be even more responsive to their needs. FIRE will continue to be represented in the San Francisco area by Regional Sales Manager Elizabeth Ramsey, and by administrative and support staff.

For the past year, Eric has been Director of Sales and Marketing at FIRE. Prior to that, he held positions with ACF Consultants, SumTotal Systems, and founded MicroVideo Learning Systems; the world’s first video-based computer training company, and over the ensuing 15 years grew it to 53-employee concern serving the Fortune 500 and Federal government.

With CEO and co-founder Juliana Lutzi at the helm, FIRE offered broker/dealers PowerComply, a Web-based program designed to help prepare for the gift-giving rules well in advance of the SRO rules effective dates. Soon after regulators put the industry on notice, firms began to wrestle with the expenses of building their own programs to track employee expenses.
